These Terms of Service (the “Terms”), together with our Privacy Policy available at https://jovyan-ai.com/privacy (the “Privacy Policy”), form a legally binding agreement between Jovyan AI SAS (“Jovyan AI,” “we,” “us,” or “our”) and you (the “User,” “you,” or “your”) governing your access to and use of our website at https://jovyan-ai.com and any related websites, web or desktop applications, browser extensions, APIs, documentation, and other services we provide (collectively, the “Service”).

By creating an account, clicking “I Accept,” or accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity.

  1. Service Overview

Jovyan AI provides an AI copilot and automation agent for data science and machine‑learning workflows. The Service helps users refactor notebooks, clean and transform data, modularize and document code, and automate repetitive tasks. The Service may generate or suggest content, code, analyses, or other outputs based on prompts or inputs you provide (“Suggestions” or “AI Outputs”).

  1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher). You must have not been previously suspended or removed from the Service. Your use of the Service must comply with all applicable laws. If you register an account on behalf of an entity, you represent and warrant that you are authorized to do so and that the entity accepts these Terms.

  1. Accounts and Security

You must create an account to access most features. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at contact@jovyan-ai.com if you believe your account is compromised.

  1. Fees, Subscriptions, and Payments

4.1 Prices and Taxes

Prices for the Service (including subscription tiers and usage‑based fees) are shown on https://jovyan-ai.com/pricing (the “Pricing Page”). We may update prices or introduce new fees by posting changes on the Service or the Pricing Page. Unless stated otherwise, prices are shown exclusive of VAT and applicable taxes. You are responsible for all taxes, duties, and levies that arise from your purchases, except taxes on our income. EU VAT may apply depending on your billing country. If you are an EU business with a valid VAT number, reverse‑charge may apply.

4.2 Payment Processing (Stripe)

We use Stripe (including Stripe Payments Europe, Ltd.) to process payments. Your payments are subject to Stripe’s terms and privacy policy (see https://stripe.com/legal and https://stripe.com/privacy). By paying through the Service, you authorize Stripe to store and charge your payment method for recurring fees until you cancel as described below.

4.3 Subscriptions and Auto‑Renewal

Paid plans are subscription‑based and auto‑renew at the end of each billing period unless you cancel before renewal using the in‑product billing controls or by contacting contact@jovyan-ai.com. We will charge your payment method on the billing date for fees and applicable taxes for the next period.

4.4 Free Trials and Promotions

Free trials or promotional offers may have additional terms. At the end of a free trial, your plan may convert to a paid subscription unless you cancel before the trial ends.

4.5 Deliquent Accounts; Suspension

If a payment fails or your account becomes delinquent, we may suspend or terminate access to the Service and may charge reasonable collection costs. If a renewal charge fails and remains unpaid, we may delete your account and associated data subject to Section 12 (Data Retention).

4.6 Right of Withdrawal (Consumers in the EEA/UK)

If you are a consumer residing in the EEA or UK and you purchase a paid plan, you generally have a 14‑day right of withdrawal from the date of purchase. However, you lose this right once (i) we start supplying the digital service with your express consent and (ii) you acknowledge that you will therefore lose your right of withdrawal (e.g., by actively using paid features immediately). Refund requests should be sent to contact@jovyan-ai.com. This Section does not limit non‑waivable consumer rights under applicable law.

  1. Licenses and Intellectual Property

5.1 Your License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, non‑sublicensable, revocable license to access and use the Service during your subscription or permitted access period.

5.2 Restrictions

Except to the extent prohibited by law, you shall not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to discover the source code or underlying models; (c) interfere with or circumvent any security or access controls; (d) use any scraping, spidering, or harvesting tools on the Service; (e) upload or transmit viruses or malicious code; (f) remove proprietary notices; or (g) use the Service in violation of these Terms or applicable law.

5.3 Acceptable Use

You agree not to use the Service to: (i) infringe intellectual‑property or privacy rights; (ii) process unlawful, harmful, or defamatory content; (iii) violate export or sanctions laws; (iv) attempt to probe, scan, or test the vulnerability of any system without explicit written authorization; (v) build a competing service using confidential aspects of the Service; or (vi) submit special‑category or regulated data unless permitted by law and by our documentation (e.g., no PHI/health data, payment card primary account numbers, or children’s data without appropriate safeguards and our prior written agreement).

5.4 Ownership of the Service

We and our licensors retain all right, title, and interest in and to the Service, including software, models, interfaces, designs, and documentation (“Materials”). No rights are granted to you other than those expressly stated in these Terms.

5.5 Feedback

If you provide suggestions, ideas, or feedback (“Feedback”), you grant Jovyan AI a perpetual, irrevocable, worldwide, royalty‑free, non‑exclusive license to use and exploit the Feedback without restriction or attribution.

5.6 Ownership of AI Outputs (“Suggestions”)

As between you and Jovyan AI, you own the AI Outputs generated for you, to the extent permitted by applicable law and third‑party terms. You are responsible for your use of AI Outputs and for ensuring that your prompts and the resulting AI Outputs comply with these Terms and applicable law. You acknowledge that outputs generated for different users may be similar due to model behavior, and no exclusivity is guaranteed.

  1. Third‑Party Services and Components

The Service may interoperate with or include third‑party services, models, libraries, or open‑source components (“Third‑Party Components”). Your use of Third‑Party Components may be subject to third‑party terms. Nothing in these Terms limits your rights under applicable open‑source licenses.

  1. Customer Data; Usage Data; Privacy Mode

7.1 Customer Data

“Customer Data” means data, content, prompts, code, files, or other materials you submit to or through the Service. We use Customer Data only to provide the Service to you, unless you opt‑in to allow us to use Customer Data to improve our products and services. When Privacy Mode is enabled (default unless you opt‑in otherwise), Customer Data is transmitted only to generate outputs in real time and is not retained for training.

7.2 Usage Data

We may generate or collect Usage Data (e.g., performance metrics, aggregated usage statistics) to operate, maintain, and improve the Service, to ensure security, and to prevent abuse. Usage Data does not include Customer Data.

7.3 Privacy Policy

Processing of personal data is governed by our Privacy Policy. Please review it for details about how we collect, use, and protect personal information and your GDPR rights (access, rectification, erasure, restriction, objection, portability).

  1. Confidentiality

Each party may disclose to the other confidential information. The receiving party will use such information only for the purposes of these Terms and will protect it with reasonable safeguards. Confidentiality obligations do not apply to information that is public, independently developed, rightfully received from a third party, or required to be disclosed by law.

  1. Beta Features

We may offer features identified as alpha, beta, preview, or experimental. Such features are provided as‑is for evaluation without any service‑level commitments and may be modified or discontinued at any time.

  1. Modifications to the Service

We may modify, discontinue, or remove features of the Service at any time. For material changes that negatively affect paid users, we will provide notice in‑product or by email in advance where feasible. If you do not agree to material changes, you may cancel your subscription before they take effect.

  1. Term, Termination, and Suspension

These Terms begin when you first accept them and continue until terminated. You may terminate at any time by closing your account (effective at the end of your current billing period for paid plans). We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk or violates law. Upon termination: (a) your license to use the Service ends; (b) you must stop using the Service; (c) accrued payment obligations remain due; and (d) Sections that by their nature should survive (including 5.4–5.6, 6–8, 10–16) will survive.
